GHJ provided significant financial, tax and advisory services for Dytran Instruments, Inc., a California-based designer and manufacturer of piezo-electric and MEMS-based accelerometers and sensors, in its strategic sale to Spectris, a London-based supplier of precision measurement tools. Dytran will be integrated into Spectris’ HBK brand of accelerometers, expanding its service offerings and expanding sales into North America.

GHJ’s Team offered strategic advice while analyzing and selecting a letter of intent, conducting a working capital analysis, and conducting tax due diligence and tax structuring, including a valuable tax gross-up negotiation. GHJ also reviewed the purchase agreement to ensure it reflected the agreed-upon terms and the seller was adequately protected.
